We offer comprehensive on-going advisory services in relation to all matters concerning the companies law which is addressed, in particular, to medium and large enterprises ("Corporate Housekeeping"). Any activities required under the companies law, such as resolutions of shareholders, amendments to the articles of association, changes of share capital, reorganisations and changes in the companies’ bodies, are prepared and supervised by us in close cooperation with the Client, right up to the entry into the register of entrepreneurs. Owing to our extensive and detailed knowledge of the companies law, we successfully support and assist entrepreneurs in solving day-to-day legal issues.
We constantly provide advisory services in the field of the companies law to large private enterprises and public, stock exchange-listed companies. We organise and assist in conducting general meetings of shareholders. We support legal departments by examining complex legal issues and advising on issues related to the companies law.

Our Law Office provides the companies seated in Poland with comprehensive advisory services with respect to the companies law, including maintaining the required corporate documentation. Our services include establishing companies, maintaining and storing any company documentation, as well as correspondence with registration authorities and offices. Furthermore, we prepare resolutions of shareholders and minutes of meetings of company authorities. Our services also include regular provision of information on new legal requirements or amendments to legislation without the Client’s additional request.

A considerable area of our team’s activities includes advisory services provided to enterprises and groups of companies in relation to developing and reorganising their structures. This includes establishment and modifications to the structures of capital groups, for instance, by establishing subsidiaries, mergers, demergers, and transformations of companies. In this area, we advise on the development of suitable solutions and their efficient implementation.

Our team specialising in restructuring helps identify solutions enabling companies to create efficient and good corporate structures, and it provides support in negotiations with investors.

It is not always possible to avoid disputes with respect to issues related to the companies law. Diverging opinions on the value of shares, shareholders’ rights or lawfulness of the activities of the company’s board of directors, may lead to disputes. The disputes often involve issues arising in connection with exclusion of shareholders and the related compensation issues. Our employees have long-standing experience in representing companies, shareholders and members of the companies’ bodies in lawsuits and arbitration proceedings in the field of the companies law.

We provide our services during conduct of court and out-of-court disputes between companies and their bodies, e.g. in the case of dismissal of the board or board members, or lawsuits for damages. We regularly advise our Clients on disputes between parties to transactions of sale of enterprises and company shares arising on the basis of exercise of the rights under warranty, guarantee and enforcement of claims for damages.
